1. Introduction

These Terms and Conditions (the “Terms”) form a binding legal agreement between you (the “user”, “you”) and Bittern Sky LTD (“Bittern Sky”, “we”, “our”), a company registered in Israel with offices at Hakaran 1, Raanana. They govern your access to and use of the website published at this domain (the “Site”). By accessing the Site you confirm that you have read, understood, and agreed to be bound by these Terms, and that you are at least 16 years of age and otherwise legally able to enter into this agreement. If you do not agree, do not use the Services.

2. The Services

This Site provides you with comprehensive information and resources about Bittern Sky's business operation and any other content related thereto (including contact information, images, text, logos, button icons, links, other specialized content, documentation, data, and related graphics and other features (collectively, the “Content”)). In addition, the Site provides you with communications means which you can use to contact us if you have any question or if you wish to be our partner and be provided with the applicable information in this regard. (Collectively with the website and Content shall be referred to as “Services”.)

These Terms apply only to the use of our Site and the Services described herein. For the avoidance of doubt, these Terms do not apply to the use of our application or any services provided through our application, which shall be governed exclusively by the commercial agreement between the parties. In the event of any conflict between these Terms and any commercial agreement between you and Bittern Sky regarding the use of our application and related services, the terms of such commercial agreement shall prevail.

The Services, including all software, source code, designs, text, graphics, icons, audio, and trademarks (the “Materials”), are owned by Bittern Sky or its licensors and are protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you any right, title, or interest in the Materials, except the limited permission to access and use the Services in accordance with these Terms. You may not remove, alter, or obscure any proprietary notices included in the Services.

If you choose to send us suggestions, ideas, bug reports, or other feedback regarding the Services, you grant Bittern Sky a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose, including incorporating it into the Services, without obligation of attribution or compensation. You confirm that any feedback you send is your own and does not infringe the rights of any third party.

We may from time to time release updates that fix defects, improve performance, address security issues, or add new functionality. You agree to receive such updates as part of your use of the Services.

7. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis, with all faults and without warranty of any kind. Bittern Sky disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, secure, or compatible with any particular hardware or software. You assume sole responsibility for the selection of the Services and for keeping backups of any files that matter to you.

8. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Bittern Sky, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption — arising out of or in connection with your use of, or inability to use, the Services, whether based in contract, tort, strict liability, or any other legal theory, and whether or not Bittern Sky has been advised of the possibility of such damages. Bittern Sky's total aggregate liability in connection with the Services shall not exceed the greater of (a) the amounts you have paid to us in the twelve months preceding the event giving rise to the liability, or (b) USD 10.

9. Indemnification

You agree to defend, indemnify, and hold harmless Bittern Sky and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) your use or misuse of the Services, (b) your breach of these Terms, or (c) your violation of any law or the rights of any third party.

The Services may contain links to third-party websites or services that are not owned or controlled by Bittern Sky. We do not endorse and are not responsible for the content, availability, or practices of any third-party service. Your interactions with third parties are solely between you and the third party, and are governed by that third party's own terms.

We may, at our sole discretion, suspend or terminate your access to all or any part of the Services at any time, with or without notice, including for any breach of these Terms. You may stop using the Services at any time by ceasing to access the Site. The sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) shall continue to apply after termination.

12. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of the Central District of Israel shall have exclusive jurisdiction over any such dispute, and you consent to the personal jurisdiction of those courts. Any cause of action you may have against Bittern Sky must be commenced within one (1) year after it accrues, or it shall be permanently barred.

13. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; any unauthorised assignment is void. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bittern Sky with respect to the Services and supersede any prior agreement on the same subject.

14. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page, and, where the change is material, take reasonable steps to bring it to your attention. Your continued use of the Services after a revision takes effect constitutes your acceptance of the revised Terms.
